Vodacom Group is pleased to announce the completion of the acquisition of the carrier services and business network solutions subsidiaries of Gateway Telecommunications SA (Pty) Ltd ("Gateway"). This transaction, originally announced on 29 August 2008, has received approval from the competition authorities in South Africa and Tanzania and from the South African Reserve Bank.

Vodafone has agreed to acquire an additional 15% stake in Vodacom Group (Proprietary) Limited ("Vodacom Group") from Telkom SA Limited ("Telkom") for a cash consideration of ZAR22.5 billion (c.£1.4 billion) less the pro rata consolidated attributable net debt of Vodacom Group of approximately ZAR1.55 billion (c.£0.1 billion). The transaction will increase Vodafone's shareholding in Vodacom Group from 50% to 65%. Vodacom Group will be listed on the Johannesburg Stock Exchange ("JSE") and the remaining 35% of Vodacom Group will be demerged by Telkom to its shareholders.

Vodacom has agreed to acquire the carrier services and business network solutions subsidiaries of Gateway Telecommunications SA (Pty) Ltd ("Gateway") for an enterprise value of approximately US$675 million plus a makewhole payment of approximately US$25 million in relation to Gateway's high-yield bond.

Vodacom is pleased to announce the acquisition of a shareholding in Storage Technologies Services (StorTech), a managed enterprise data centre services company providing a range of storage and security services. Vodacom (Pty) Ltd has purchased 51% of StorTech; approximately 31% will remain with StorTech's BEE partners and approximately 18% with StorTech's management.

Vodacom results for the period ended June 30, 2008

Group revenue increased by 14.5% year on year for the quarter ended June 30, 2008, while customers increased by 6.6% since June 30, 2007.

The Chairman of the Vodacom Group, Mr. Oyama Mabandla, is pleased to announce the appointment of Pieter Uys to the position of Vodacom Group CEO, succeeding Alan Knott-Craig.  Mr. Uys, a 15 year veteran of the group and current Chief Operating Officer, will take over from Mr. Knott-Craig with effect from 1 October 2008.

In April Vodacom announced that Royal Bafokeng Holdings and Thebe Investment Corporation had been selected as its preferred strategic partners to participate in Vodacom South Africa's broad-based BEE transaction.  Vodacom is pleased to announce that transaction agreements were signed with both parties on 20 June 2008.
