DRCStatement of compliance
Vodacom is committed to the highest standards of integrity, ethics and professionalism. Our Board recognises the need to conduct the business according to the principles of the King Code of Corporate Practices and Conduct (‘King III’). These principles include discipline, independence, responsibility, fairness, social responsibility, transparency and accountability of directors to all stakeholders.
A number of these principles are reflected in the Group’s internal controls and policy procedures. In 2011 we conducted a review to ascertain the Group’s compliance with King III. The following approach was adopted:

A working group was set up to conduct a governance assessment, making use of the tools provided by the Institute of Directors of Southern Africa; and |

PricewaterhouseCoopers (PwC) was engaged to review our compliance against the principles and recommendations in King III. |
The Board is satisfied that every effort has been made to comply in all material aspects with King III. Where we do not comply, this is stated and explained.
